These Terms of Use (“Terms of Use”) apply to our website (“Site”), including any of its Content (as defined below), made available by us. LCI Education is not a single integrated corporate entity, and each entity within the group constitutes a separate legal entity. For the purposes hereof, the expression "LCI Education", “we”, “us”, “our” refer to a group of globally established institutions of higher education (each a "Member Campus"), as well as Collège Lasalle, Collège LaSalle International Inc (hereinafter "CLI") and 8240175 Canada Inc, doing business under the names LCI Education - Global Admissions or LCI Education - Admissions Globales, as more fully detailed in the table at the end of these Terms of Use. This is a legally binding contract between us and the user (“you”, “your”) regarding the use of the Site that describe your rights and responsibilities as a user.

BY ACCESSING OR USING THE SITE, YOU CONSENT TO BE BOUND BY THESE TERMS OF USE AND ALL OTHER APPLICABLE TERMS, CONDITIONS, AND POLICIES THAT SUPPLEMENT IT, INCLUDING OUR PRIVACY POLICY AND ANY OTHER CONDITIONS WE MAY NOTIFY YOU OF FROM TIME TO TIME. IF YOU DO NOT AGREE, DO NOT USE THE SITE.

PROPRIETARY AND USE RIGHTS

We or our suppliers, as applicable, retain ownership of all intellectual property and other proprietary rights in the Site, including its domain name and all trade names, trademarks, logos, copyrightable works, text, atwork, images, photographs, audio and video material, software, applications and other data and information displayed or accessible on the Site, or used in connection with it (collectively, the “Content”). You acknowledge that we own and control the Site, and all rights not expressly granted to you under these Terms of Use are hereby retained by us or its respective owner. It is therefore forbidden to copy, modify, amend, delete, augment, publish, transmit, create derivative works of, create or sell products derived from, display or post, or in any other way exploit or use such Content without the express authorization of each respective owner. By using this Site, you acknowledge and agree that the Content is protected by Canadian and international intellectual property laws and by copyright, trademark and other intellectual property and proprietary rights, and that these rights are valid and protected in all forms, mediums and technologies that exist now or are developed or created in the future. Without limiting the generality of the foregoing, you acknowledge that the present Terms of Use and your use of the Site do not transfer to you any right, title, or interest in such intellectual property in and to such Site and its Content.

So long as you comply with these Terms of Use, we grant you a personal, limited, non-exclusive and non-transferable right to access, use, display, and view the Site strictly for informational purposes.

USE RESTRICTIONS

Except as expressly provided in these Terms of Use, you are not authorized to modify, copy, reproduce, re-edit, republish, display, encode, translate, transmit, upload to a server or elsewhere, send or post, distribute, or otherwise use or make available the Content available on the Site.

Where the option exists, you may print out certain sections for personal and non-commercial use. This authorization is only valid on the condition that you: (i) retain all copyrights and proprietary notices contained in the Content, including copyrights and trademarks, and that you indicate the source of the Content, like the URL address of said Content, (ii) do not modify the Content in any way, (iii) do not reproduce or display, perform, or distribute or otherwise use publicly or communicate the Content for any commercial purpose unless it has been expressly permitted in the features of this Site, (iv) do not make any representations or warranties related to such Content. Any other types of use require our prior written consent. All of your rights in connection with the Site and its Content shall be immediately revoked if you breach any of the terms and conditions set forth in these Terms of Use, including the restrictions stipulated in the preceding provisions. Upon such revocation, you agree to immediately cease using the Site and its Content.

Account. You may create an Account only if you have the legal capacity to form a binding agreement with us. By creating an account, you represent that you have the legal capacity to do so. When you sign up to create an account on our Site or to one of our services (“Account”), you agree to (i) provide true, correct, up-to-date and complete information about yourself (you are not allowed to create a false identity or misappropriate the identity of another person); (ii) regularly maintain and update your registration data in order to keep it true, accurate, up-to-date and complete; (iii) comply with all applicable laws, including those regarding intellectual property, privacy and the protection of personal information applicable to the Account.

You are responsible for all aspects of the use of your Account, including the confidentiality of your user name and password. We can in no event be held liable for unauthorized use of your Account.

You agree to immediately notify us at privacy@lcieducation.com of any unauthorized use of your Account or any other security breach. We will then take whatever measures we deem reasonable and appropriate to put an end to such use or breach, but can in no event be held liable for any act or omission in this regard.

As the holder of an Account, you consent to our use of your personal information, in accordance with our Privacy Policy.

In addition, you agree that you will not, and will not permit, enable, induce, or encourage other users or third parties to use the Site or your Account, including any output or other information generated by them:

1.     in any way that is contrary to or in violation of applicable law or these Terms of Use, including without limitation all intellectual property, data, privacy, recording, electronic communications, advertising, securities, export and national defense laws and regulations;

2.     for any data scraping purposes or to access, acquire, copy, or monitor any materials, documentation, information, activity, or component of or on the Site by any means not purposely made available by us;

3.     in any way that may disrupt, compromise, or otherwise adversely impact or prevent the full enjoyment of the use of the Site by third parties or in any manner which could possibly damage, disable, overburden, hinder the Site’s operation, or interfere in any way with its functioning and structure.

LINKS TO OTHER SITES

This Site may contain links to other independent third-party websites, including without limitation social networking websites (such as Instagram, Facebook, Twitter, etc.) (“Linked Sites”). Such Linked Sites are not under our control, and we are not responsible for and do not endorse the content of such Linked Sites, including any information or materials contained on such Linked Sites. You assume full responsibility for your use or access of the Linked Sites, and it is your responsibility to take every necessary precaution. These Linked Sites, and your use and viewing of such incorporated content, are subject to and governed by terms and conditions different from those applicable to the Site and, accordingly, it is your duty to consult them and abide by them.

FEEDBACK AND SUGGESTIONS

We appreciate receiving comments and suggestions regarding the Site as well as our various activities. If you send us any comments, suggestions, ideas, materials, or other kind of feedback regarding the Site or our various activities (“Feedback”), you hereby irrevocably assign to us all such Feedback, for us to use for any purpose in our sole discretion without any obligation or compensation to you. You further agree that you are entirely responsible for the content of your submission, including with respect to its legality, reliability, and originality.

USER CONTENT

You may contribute to the Content as a user of the Site, for example by submitting or publishing information, texts, files, credits, artwork, photos, images and videos, reviews and links to press interviews and media articles or by rating or commenting on the Content ("User Content"). You are solely responsible for your contribution to the Content, including its legality, reliability, accuracy, and relevance and you are solely responsible for the consequences of posting, downloading, transmitting or making such User Content available to the public on the Site. Once your User Content is posted on the Site, it will be automatically accessible to the public via the Site. You hereby agree that other users may share your User Content through various social media platforms integrated in the Site, with no prior notice to you. We do not control what use others may make of your User Content and we cannot be held liable for any damage or loss you may sustain thereby.

Commenting. The Site may allow you to send private emails and/or provide you with the opportunity to share your opinion on the Content, User Content of others or any other material. Commenting features in in the Site such as on blogs and discussion forums exists to promote intelligent discussion within our community. You are solely responsible for any message that you share or publish on the Site and for the consequences of such message. Except for private emails, the messages that you share or publish on the Site can be viewed by others. By commenting, you agree to: (i) not post messages that are libelous, defamatory, obscene, pornographic, abusive, vexatious or contain otherwise illegal content; (ii) be respectful and not threaten or abuse other commenters or authors, make them feel unsafe or unwelcome. Any such message is part of your User Content and subject to the terms and conditions herein.

We have no obligation to review the User Content submitted or provided by users. Under no circumstances will Company be held responsible in any way whatsoever for any claim related to the User Content submitted or provided by a user. Company does not endorse any User Content or any opinion, recommendation or advice expressed therein.

You represent and warrant that (i) such User Content does not violate the Terms of Use or other applicable law or regulation; (ii) you have the necessary rights and permissions to publish the User Content you submit on the Site;(iii) the posting of such User Content does not infringe the rights of any third party, including the intellectual property rights, image and personality rights, or privacy rights; (iv) the User Content you submit is not profane, libelous, defamatory, obscene, pornographic, indecent, lewd, harassing, threatening, vexatious, fraudulent, false, misleading or otherwise objectionable or harmful; and (v) the User Content does not contain any software viruses, commercial solicitation, political campaigning, or any form of ‘’spam’’ or other undesirable elements, or any executable files or any computer codes or programs. All users who provide us with information about another person must obtain the express consent of the person concerned.

By submitting User Content to the Site, you grant us an unlimited, worldwide, perpetual, non-exclusive, royalty-free, sublicensable and transferable license to use, reproduce, publish, distribute, broadcast, adapt, modify, translate, communicate or otherwise make available to the public the User Content, in connection with the Site and its promotion, as well as any products and services related thereto, on any media now known or hereafter devised.

We do not have the obligation, but reserves the right, to remove any User Content submitted by a user from the Site, including User Content that may be inaccurate, offensive or that may infringe on third party rights.

MONITORING

We reserve the right, at our sole discretion, to monitor your use of the Site as well as the use and access of all other users. By accessing to this Site, you consent to such monitoring. However, you also acknowledge that we are not obligated to take action to control the users’ activities on the Site and therefore we are not responsible for any users’ activities, including for any User Content.

PRIVACY

Personal information that you disclose to us about yourself via the Site is subject to our Privacy Policy [insert hyperlink], included in these Terms of Use by this reference.

CHANGES

We reserve the right to do any of the following, at any time, without notice: (1) modify, suspend or terminate operation of or access to the Site, or any portion of the Site, for any reason; (2) modify or change the Site, or any portion of the Site, and any applicable policies or terms; and (3) interrupt the operation of the Site, or any portion of the Site, as necessary to perform routine or non-routine maintenance, error correction, or other changes. We may elect, at our sole discretion, to add, remove, modify, suspend or otherwise alter any part of these Terms of Use, in whole or in part, at any time. Such changes are effective once notice thereof is posted on the Site. Please check these Terms of Use frequently to determine whether they have been updated, by referring to the date of the “Latest Update” indicated at the beginning of this document. If you do not agree with any of the changes made to the Terms of Use, you must immediately cease using the Site and any Account.

INDEMNIFICATION

You agree to defend and indemnify us and our directors, employees, representatives, agents, subsidiaries, and affiliates (“Indemnified Parties”), at your own expense, against all third party claims, actions, suits, proceedings or demands arising from or related to your use of the Site, including any Content, your breach of these Terms of Use or applicable law, your Account, your User Content or the infringement by you of any intellectual property, privacy or other right of any third person or entity (“Claims”). You agree to indemnify and hold harmless any of the Indemnified Parties for all damages and other costs, including reasonable lawyer and expert fees, incurred, or awarded against such Indemnified Parties in connection with or as a result of any such Claims, including amounts to be paid by an Indemnified Party under a settlement you approve.

DISCLAIMER OF WARRANTY

The primary goal of the Site is to provide information on us, LCI Education, and our activities. While we make all reasonable efforts to ensure that the information on the Site is accurate and up to date, it is possible that, at any given time, this information may be incomplete, contain errors or be out of date or inaccurate. Before making any decision based on the said information, you should validate the information with another source or contact us. Your use and reliance on the Site are your responsibility and at your own risk.

WE DO NOT PROMISE THAT THE SITE OR CONTENT WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ANY DEFECTS WILL BE CORRECTED, OR THAT YOUR USE OF THE SITE WILL PROVIDE SPECIFIC RESULTS. TO THE EXTENT PERMITTED BY LAW, WE PROVIDE NO WARRANTY OF ANY KIND WHATSOEVER IN RESPECT OF THE SITE AND CONTENT, WHICH ARE DELIVERED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. ALL INFORMATION PROVIDED ON THE SITE IS SUBJECT TO CHANGE WITHOUT NOTICE. WE EXPRESSLY DISCLAIM ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF ACCURACY, TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.

LIMITATION OF LIABILITY

WE DO NOT ASSUME ANY LIABILITY FOR THE RETENTION, USE OR DISCLOSURE BY YOU OF ANY INFORMATION, CONTENT OR COMMUNICATION SENT TO, RECEIVED FROM, OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE.

IN NO EVENT SHALL WE OR OUR DIRECTORS, EMPLOYEES, REPRESENTATIVES, AGENTS, AND AFFILIATES BE LIABLE FOR ANY DAMAGE THAT IS NOT A DIRECT AND IMMEDIATE CONSEQUENCE OF THE BREACH OF OUR OBLIGATIONS UNDER THESE TERMS OF USE. IN ANY EVENT, ALL DAMAGES FOR LOSS OF PROFITS, LOSS OF CONFIDENTIAL INFORMATION, BUSINESS INTERRUPTION, LOSS OF PRIVACY, LOSS OF DATA, ECONOMIC LOSS, AND ALL OTHER TYPES OF DAMAGES THAT WOULD QUALIFY UNDER THE CIVIL OR COMMON LAW REGIME AS SPECIAL, INCIDENTAL, PUNITIVE, INDIRECT, OR CONSEQUENTIAL DAMAGES, ARISING OUT OF TO YOUR USE OF THE SITE OR CONTENT OR OUR BREACH OF THESE TERMS OF USE, ARE HEREBY EXPRESSLY EXCLUDED, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IF, NOTWITHSTANDING THE PROVISIONS OF THESE TERMS OF USE, WE ARE FOUND TO BE LIABLE TO YOU FOR ANY DAMAGE OR LOSS WHICH ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH YOUR USE OF THE SITE, OUR LIABILITY SHALL IN NO EVENT EXCEED CAD $100.00.

THE LAWS OF SOME JURISDICTIONS, INCLUDING QUEBEC, DO NOT ALLOW THE EXCLUSION OR LIMITATION OF STATUTORY WARRANTIES, LIABILITY OR CERTAIN DAMAGES AND/OR REPRESENTATIONS AND WARRANTIES WITH RESPECT TO PRODUCTS AND/OR SERVICES. IF ANY DISCLAIMER, EXCLUSION OR LIMITATION IN THESE TERMS OF USE CANNOT BE EXCLUDED OR LIMITED ACCORDING TO APPLICABLE LAW, THEN ONLY SUCH DISCLAIMER, EXCLUSION OR LIMITATION SHALL NOT APPLY AND THE PARTIES SHALL CONTINUE TO BE BOUND BY ALL THE REMAINING DISCLAIMERS, EXCLUSIONS, AND LIMITATIONS.

TERMINATION

The parties can terminate the contract between them at any time. Upon such termination, you will no longer have the right to use the Site or your Account. The following provisions shall continue to apply following termination: (i) users and/or visitors may continue to share User Content and information you have published to the extent that same was published or shared prior to termination, and (ii) all provisions relating to intellectual property, restrictions on the use of the Content, limited guarantees, limited liability, indemnification as well as interpretative provisions contained herein.

GOVERNING LAW AND JURISDICTION

These Terms of Use are governed by and construed in accordance with the laws of the Province of Quebec, Canada, without reference to conflicts of law rules and principles. Any dispute that may arise from your use of this Site is subject to the exclusive jurisdiction of the courts in the Province of Quebec.

THE LAWS OF CERTAIN JURISDICTIONS DO NOT ALLOW FOR CERTAIN CHOICE OF LAW AND/OR JURISDICTION CLAUSES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.

MISCELLANEOUS

These Terms of Use supersede any agreement, representation, warranty, or prior agreement, whether written or oral, express or implied, with respect to the subject matter hereof and they bind you and your heirs, executors, administrators and other legal representatives.

If any portion or provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be void or unenforceable, such provision or portion shall be read down, construed, and enforced to the maximum extent permissible so as to carry out the objective of the original provision as closely as possible. In either case, the remainder of the Terms of Use shall continue in full effect.

Our delay or failure to act with regards to any failure on your part to comply with these Terms of Use does not constitute a waiver on our part, nor shall any course of conduct between us and you or any other party be deemed to modify any provision of these Terms of Use.

These Terms of Use shall not be interpreted or construed to confer any rights or remedies on any third parties.

You may not assign, transfer, or delegate your rights and obligations under these Terms of Use. We may however assign, transfer, or delegate our rights and obligations under these Terms of Use without your consent.
